3. You are the sole creator and owner of and have the unrestricted right to create and submit Your Content and to grant the rights to Your Content set forth below;
4. Your Content does not (a) include any commercial advertising or element (such as business names or logos, brand names, characters or slogans) other than those relating to the IAMS® Brand or other products of Mars Petcare US, Inc. and its affiliates (collectively, “Mars”); (b) disparage or make unsubstantiated claims about any person or entity or its products or services; and (c) contain any virus, bug, worm or other corruptive code;
5. Mars and its designees have a worldwide, non-exclusive, sub-licensable (through multiple tiers), transferable, fully paid-up and royalty-free, perpetual, irrevocable right to use, reproduce, distribute (through multiple tiers), modify, enhance, create derivative works of, publicly perform, publicly display, digitally perform, make, have made, sell, offer for sale, export and import Your Content (including your name, likeness, voice, biographical information and other elements of your identity, if and to the extent depicted, mentioned or otherwise identified in Your Content) in any media now known or hereafter developed, for Mars’ commercial and other purposes without further approval by or payment to you;
6. Mars is the sole and exclusive owner of all right, title and interest in and to all business names, logos, brand names, characters and slogans relating to the IAMS® Brand and other products of Mars, along with all goodwill associated therewith (collectively, the “Mars Intellectual Property”). Nothing in these Submission Terms constitutes authorization for you to use the Mars Intellectual Property for any purpose other than submission of Your Content;
7. Mars reserves the right, in its sole discretion, to use and not use Your Content, to remove Your Content from the IAMS® Brand page and to terminate your access to the IAMS® Brand page;
8. You are fully responsible for Your Content, including its legality, reliability, accuracy and appropriateness and understand that Mars is not responsible for any unauthorized use of Your Content by third parties. YOU AGREE TO UNCONDITIONALLY AND IRREVOCABLY RELEASE MARS AND ITS AFFILIATES FROM ANY AND ALL LIABILITIES, CLAIMS OR DAMAGES ARISING FROM OR RELATED TO YOUR CONTENT AND/OR MARS’ EXERCISE OF THE RIGHTS GRANTED HEREUNDER TO YOUR CONTENT. THE FOREGOING RELEASE DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. IF FOR ANY REASON THE FOREGOING RELEASE IS UNENFORCEABLE, THEN MARS’ MAXIMUM LIABILITY FOR ANY TYPE OF DAMAGES UNDER THESE SUBMISSION TERMS IS LIMITED TO $1,000. (If you are a California resident, you understand that the foregoing release covers all claims or possible claims of every nature and kind and all rights under Section 1542 of the Civil Code of California, which states as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”);
9. You are subject to and must comply with Facebook’s Terms & Policies and with all applicable federal, state, and local laws, rules and regulations;
10. You are solely responsible for any and all charges, fees and/or costs associated with developing and posting Your Content and agree that Mars is not responsible for technical or other failures or malfunctions of computer hardware, software, communications devices or transmission lines or for any damage to your computer or device resulting from your access to and use of the IAMS® Brand Page on Facebook;
11. Mars does not endorse or otherwise support any opinion or content provided by anyone other than representatives of the IAMS® Brand. All use of the IAMS® Brand Page on Facebook and any content on it is at your own risk;
12. Mars will process your personal information as described in the Mars Privacy Statement;
13. Any dispute arising in connection with Your Content or these Submission Terms is governed by the internal laws of the State of Delaware and must be brought in a court of competent jurisdiction within the United States;
14. If any provision of these Submission Terms is found to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited so that the remaining provisions of these Submission Terms will continue in full force and effect; and
15.
