Members have approved updated bylaws for our group and these are provided below.
Bylaws – Approved 3/11/2025
ARTICLE I – NAME
This group shall be known as the Romeo Guild of Art (RGA).
ARTICLE II –GENERAL
Section 1. Purpose:
RGA is a not-for-profit organization of persons interested in the advancement of visual arts. The purposes of RGA shall be to:
Promote and support the visual arts in Macomb County and Southeast Michigan.
Provide members with a forum for networking and ongoing learning.
Produce the annual Thumb Area Art Exhibit.
Provide scholarships for Romeo High School students pursuing higher education in the arts.
Section 2. Not-for-Profit:
Any money that RGA collects from dues, workshop fees, juried show entrance fees or other revenues shall not be for gain or profit to any Officer, Board member, or individual general member. Funds held by RGA shall be used to cover expenses involved in providing programs for the membership and service to the community as set forth above in “Section 1. Purpose.”
Section 3. Quorum:
A quorum for business meetings shall be four or more members in good standing, plus either the President or one of the Officers.
Section 4. Meetings:
RGA shall hold monthly membership meetings with the exception of July and August. Meetings will be held at 7 pm at Starkweather Arts Center or other site when indicated provided that the alternative location has been communicated to members in advance. Additional meetings for Committee work may be scheduled at the discretion of the Standing Committee members. These meetings are open to general membership.
ARTICLE III – MEMBERSHIP
Section 1. Membership:
Membership shall be open to any person aged 18 years or older residing in Southeast Michigan. RGA welcomes anyone who is interested in art and there are no membership prerequisites as to race, creed, s*x, national origin or level of ability in their chosen art media.
Section 2. Dues and Fees:
Annual dues are $25 per person or $35 for family. Dues may be adjusted based on recommendation of the Board of Directors and as approved by majority of members present at an announced meeting. Dues are owed at the beginning of each calendar year. New members who pay after October 1st are considered in good standing for the following fiscal year. Failure to pay dues for four months results in deletion from the RGA newsletter distribution list and ineligibility for art exhibits that require RGA membership.
ARTICLE IV – OFFICERS
RGA shall have the following officers elected from the general membership by the general membership: President, Vice President, Secretary, Treasurer and Historian. Officers of RGA shall be elected at the November meeting from the membership and by the membership. The two-year term of office for elected officers shall begin in January and continue through December of the subsequent year. An officer may serve for more than one term if duly re-elected by the membership.
ARTICLE V –DUTIES OF OFFICERS
The Board of Directors comprised of elected officers and the standing committee chairpersons, shall have
Governance over the affairs of RGA excepting those matters specifically reserved to the membership under these Bylaws. Additionally, officers and chairpersons may seek input from a Starkweather Art Center representative so they may be included in decisions which directly impact the gallery or its employees. A standing committee chairperson may have the ability to make final decisions about their particular committee after discussion and input from the committee, board and/or general membership.
The President shall direct and manage the affairs of RGA, preside over and set the agenda of all membership business meetings.
The Vice President shall preside over meetings and perform other duties of the President in the absence of the President.
The Secretary shall keep minutes of membership business meetings, distribute online newsletters and meeting announcements to members, conduct correspondence on behalf of RGA, and assist in maintenance of the roster of active members.
The Treasurer shall keep all funds, make payments of debts and expenses as authorized by the Board, keep accounts of all monies received and expended, render a verbal accounting at the monthly business meetings and assist in maintenance of the roster of active members.
The Historian shall collaborate with the Archival Librarian of the Romeo District Library to maintain a historical record of RGA functioning including meeting minutes and where appropriate, photographs of RGA events.
ARTICLE VI – STANDING COMMITTEES
Standing Committees are staffed by members who have volunteered for these special responsibilities and these include: Thumb Area Art Exhibit (TAAE) Committee, the Educational Program Committee and the Scholarship Committee. Standing Committee chairpersons or members provide a brief informational report at the monthly membership meetings as indicated.
ARTICLE VII – AMENDMENTS TO BYLAWS
Amendments to Bylaws may be proposed to the Board by any member in good standing. After approval by the Board the proposed changes will be posted in RGA newsletters at least one month prior to a general meeting where they will be presented, discussed and voted upon. The following month changes shall be enacted on the basis of a majority vote by the general membership.
ARTICLE VIII – DISSOLUTION OF RGA
RGA shall be deemed no longer able to function, if (a) RGA is unable to elect a slate of Officers, and (b) RGA is unable to hold general meetings, and (c) RGA is unable to provide programs in which members participate, and (d) the remaining or previous Officer(s) feel that it is no longer possible to carry on RGA. Upon this event, the Officer(s) may dissolve RGA. In the event that The Romeo Guild of Art ceases to function as an organization, the accumulated assets shall be gifted to a Federally tax-exempt charitable non-profit organization[s] to be used to further art education after the debts have been resolved. Designation of the recipient organization(s) shall be determined by majority vote of members in good standing that are present at the final meeting.
